Welcome to OneTalk by TapTalk.io. These Terms of Service ("Terms") govern your use of our application ("App"), website, and related services (collectively, "Services"). By accessing or using our Services, you agree to be bound by these Terms. Please read them carefully. If you do not agree to these Terms, you must not use our Services.

2. App Information

Name: OneTalk by TapTalk.io
Purpose: OneTalk by TapTalk.io combines all communication channels, including social media, into one single inbox with powerful features.
Platforms: Available on Android, iOS, and Web (https://onetalk.taptalk.io/)

3. User Requirements

Age Restrictions: You must be at least 15 years old to use OneTalk by TapTalk.io.
Account Creation and Subscription: Users are required to create an account and subscribe to use the app. Subscription details and terms will be provided during the account setup process.

4. Content and Conduct

4.1. Content Creation and Sharing

Users can create, upload, and share content within the App. However, you must adhere to our content guidelines and restrictions.

4.2. Prohibited Content

The following types of content and activities are strictly prohibited on OneTalk by TapTalk.io:
• Gambling Services: Building and/or supporting any actual monetary gambling services, including but not limited to online and offline casinos, sports books, bingo, poker, scratch card games, electronic game machines, and sports betting.
• Criminal and Terrorist Activities: Affiliation with any organized criminal and/or terrorist activities, including the selling, providing, and facilitating weapons provisions (except weapons with valid certifications from authorities), ammunition, explosives, and illegal drugs, including recreational drugs.
• Criminal Facilitation: Facilitating and/or organizing activities that cause harm, including but not limited to physical harm, financial damage, reputational damage, or those that might be dangerous to humans, businesses, and animals.
• Currency Transactions: Selling and/or facilitating purchases of real, fake, and virtual currencies.
• Sexual Content: Selling, facilitating, and/or supporting any content relating to sexual pleasure including, but not limited to, any type of pornography or sexual abuse.
• Intellectual Property Violations: Selling and/or facilitating transactions for products that violate copyrights and trademarks of third parties.

4.3. Prohibited Behaviors

Users must not engage in the following behaviors:
• Abuse and Disruption: Introducing malware, spamming, hacking, or bypassing our systems or protective measures.
• Fraudulent Activities: Engaging in phishing, creating fake accounts or content, including fake reviews, and misleading others into thinking that generative AI content was created by a human.
• Misrepresentation: Providing services that appear to originate from you (or someone else) when they actually originate from us, or providing services that appear to originate from us when they do not.
• Legal Violations: Using our Services (including the content they provide) to violate anyone’s legal rights, such as intellectual property or privacy rights.
• Reverse Engineering: Reverse engineering our services or underlying technology, such as our machine learning models, to extract trade secrets or other proprietary information, except as allowed by applicable law.
• Automated Access: Using automated means to access content from any of our services in violation of the machine-readable instructions on our web pages (for example, robots.txt files that disallow crawling, training, or other activities).
• AI Misuse: Using AI-generated content from our services to develop machine learning models or related AI technology.
• Identity Misrepresentation: Hiding or misrepresenting who you are in order to violate these terms.
• Encouraging Violations: Providing services that encourage others to violate these terms.

5. Privacy and Data

5.1. Personal Information Collected

We collect various types of personal information, including but not limited to:
• Identity Data: Name, address, place and date of birth, self-picture photos, and other identifiers.
• Contact Data: Email address, mobile phone number, and other contact information.
• Payment and Financial Data: Bank account details, financial information, and other payment-related information.
• Activity Data: Data related to your activities when using the Service, including search terms, interactions with content, input activity, transaction processing, and communication data with other users.

5.2. Use of Personal Information

• Service Improvement: To create, develop, operate, deliver, and improve our products, services, content, and advertising, and for anti-fraud purposes.
• Identity Verification: To verify identity, assist with user identification, and determine appropriate services.

However, we cannot ensure or warrant the absolute security of any information you transmit to OneTalk by TapTalk.io or guarantee that your information on the Service may not be accessed, disclosed, altered, or destroyed by a breach of any of our physical, technical, or managerial safeguards.

5.4. Sharing Personal Information

We may share the information we collect, both personal and non-personal, with third parties for various purposes, including:
• Service Providers: Trusted third-party service providers who perform functions and provide services to us, such as hosting, maintaining servers, database storage, email management, storage marketing, credit card processing, customer service, and fulfilling orders.
• Affiliates and Business Partners: Our current and future affiliated companies and business partners.
• Business Transfers: If we are involved in a merger, asset sale, or other business reorganization, we may share or transfer your personal and non-personal information to our successors-in-interest.
• Analytics: Portions of our log file data, including IP addresses, for analytics purposes with third parties such as web analytics partners, application developers, and ad networks.
• Legal Requirements: Disclosure of personal and non-personal information to government or law enforcement officials or private parties as we, in our sole discretion, believe necessary or appropriate to respond to claims, legal processes, protect our rights and interests or those of a third party, the safety of the public or any person, prevent or stop illegal, unethical, or legally actionable activity, or comply with applicable court orders, laws, rules, and regulations.

6. Purchases and Payments

6.1. Subscriptions

OneTalk by TapTalk.io offers subscription plans. Subscription fees are based on Monthly Active Users (MAU) and additional services requested, such as Professional Services and Add-ons, as agreed upon by both parties.

6.2. Package Details, Fees, and Payments

• Package Details: The details of the product package selected by the user are as stated in the Quotation and/or the Usage Agreement.
• Obligations: The user is obliged to comply with all provisions set out in the Quotation and/or the Usage Agreement, including provisions regarding fees, payment terms, and other technical provisions.
• Continued Application: These Terms and Conditions will continue to apply if the user agrees to extend the Active Period.

6.3. Refund Policy

All payment obligations are non-cancelable, and all amounts paid are non-refundable, except as specifically provided for in this Agreement. All fees are due and payable in advance throughout the Subscription Term.

7. Dispute Resolution

7.1. Governing Law

These Terms and Conditions are governed under the laws of the Republic of Indonesia.

7.2. Dispute Process

• Amicable Settlement: Disputes, controversies, or conflicts arising from or in relation to these Terms should be settled amicably by the parties within 20 calendar days from the date any party informs the other party that a dispute has arisen.
• Arbitration: If no agreement is reached within 30 calendar days after the amicable settlement, the parties agree that any disputes shall be settled through arbitration at BANI Arbitration Center (BANI).

8. Liabilities and Disclaimers

8.1. Force Majeure

Any delay or failure in performance by either party under these Terms shall be excused if and to the extent caused by an event of Force Majeure. "Event of Force Majeure" means an event beyond the control of either party, which prevents either party from complying with any of its obligations under this Agreement, including but not limited to:
Act of God (e.g., fires, explosions, earthquakes, drought, tidal waves, floods)
War, hostilities, invasion, act of foreign enemies, mobilization, requisition, or embargo
Rebellion, revolution, insurrection, military or usurped power, or civil war
Contamination by radioactivity from any nuclear fuel or waste
Riot, commotion, strikes, lockouts, or disorder
Acts or threats of terrorism
Discontinuation or disruption of electricity supply and/or internet connection beyond control
Other unforeseeable circumstances beyond control, against which it would have been unreasonable to take precautions

9. Changes to Terms

9.1. Notification of Changes

We may update these Terms periodically. When we do, we will notify users by email or through a prominent notice on our Services. It is your responsibility to review these Terms periodically.

9.2. Effective Date of Changes

Changes to these Terms will be effective on the date they are posted. Your continued use of our Services after any changes are posted will be considered acceptance of those changes.
